These Terms of Service apply to mailbox operators ("Operators") and their end customers ("End Users") using the Innbocks platform.

Innbocks Operator Terms of Service

1. Nature of Service

Innbocks is a business-to-business ("B2B") software-as-a-service ("SaaS") platform that provides mailbox operators with tools for mail management, digital scanning, customer communication, and record-keeping.

Innbocks expressly does NOT:

  • Provide, assign, or rent postal addresses or mailbox numbers
  • Receive, handle, forward, or deliver physical mail or packages
  • Operate as a Commercial Mail Receiving Agency (CMRA), postal service, or mail forwarding service
  • Verify the identity of end customers or process USPS Form 1583, Royal Mail authorizations, or Canada Post documentation
  • Act as a postal operator, courier, or mail handler in any jurisdiction

Innbocks functions solely as a software platform and digital record-keeping system. All physical mail operations, customer verification, address assignment, and regulatory compliance are the sole responsibility of the Operator.

2. Acceptance of Terms

By registering for an Innbocks account, accessing the platform, or using any Innbocks services, you ("Operator") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not register for or use the Innbocks platform. These Terms constitute a binding legal agreement between you and Innbocks.

3. Operator Responsibilities

As an Operator using the Innbocks platform, you acknowledge and agree that you are solely responsible for:

  • Customer Identity Verification: Verifying the identity of all end customers using valid identification documents and maintaining records as required by applicable law
  • Address Assignment: Assigning mailbox numbers, suite designators, or address formats in compliance with postal regulations in your jurisdiction
  • Regulatory Compliance: Complying with all applicable postal, consumer protection, privacy, anti-money laundering, and local laws and regulations, including but not limited to USPS CMRA requirements (United States), Royal Mail licensing (United Kingdom), and Canada Post regulations (Canada)
  • Mail Handling: Lawful receipt, storage, scanning, forwarding, and disposal of physical mail and packages
  • Customer Agreements: Entering into appropriate service agreements with your end customers
  • Data Protection: Complying with applicable data protection laws (including EU GDPR, UK GDPR, PIPEDA, and U.S. privacy laws) in your collection, processing, and handling of end customer personal data

4. Compliance Allocation and Disclaimer

Innbocks provides software tools only and has no involvement in your physical mailbox operations. Accordingly, Innbocks expressly disclaims any responsibility for:

  • The legality, authenticity, or contents of any mail you receive or process
  • Customer eligibility, identity verification, or suitability
  • Compliance with postal regulations, including CMRA rules, Royal Mail requirements, or Canada Post regulations
  • Any claims, losses, or damages arising from your mail handling operations
  • End customer disputes or complaints regarding your services

You agree to indemnify and hold Innbocks harmless from any claims, damages, fines, penalties, or liabilities arising from your failure to comply with applicable laws or these Terms.

5. Data Processing Role

For the purposes of applicable data protection laws:

  • Operator as Data Controller: You, as the Operator, are the data controller with respect to your end customers' personal data. You determine the purposes and means of processing such data.
  • Innbocks as Data Processor: Innbocks acts as a data processor, processing personal data on your behalf and in accordance with your instructions as documented in these Terms and our Data Processing Addendum (where applicable).

For EU, UK, and Canadian Operators, the data controller/processor relationship is governed by the EU GDPR (Regulation 2016/679), UK GDPR, and PIPEDA respectively. A Data Processing Addendum is available upon request for Operators requiring formal processor agreements.

6. Account and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Provide accurate and complete registration information
  • Promptly update your account information as necessary
  • Immediately notify Innbocks of any unauthorized access or security breach
  • Not share account credentials with unauthorized third parties

7. Fees and Payment

Subscription fees are billed in accordance with your selected plan. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. Innbocks reserves the right to modify pricing with reasonable notice. Failure to pay fees may result in suspension or termination of your account.

8. Intellectual Property

The Innbocks platform, including all software, designs, trademarks, and documentation, is the exclusive property of Innbocks or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during your subscription term.

You retain ownership of all data you upload to the platform. By using Innbocks, you grant us a limited license to host, store, and process your data solely to provide the services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Innbocks's total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to Innbocks in the twelve (12) months preceding the claim.
  • Innbocks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • Innbocks shall have no liability whatsoever for any claims related to physical mail handling, postal compliance, customer verification, or the contents of mail processed through your operations.

The services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

Either party may terminate these Terms with thirty (30) days' written notice. Innbocks may immediately suspend or terminate your access if you breach these Terms, fail to pay fees, or engage in activities that may harm the platform or other users.

Upon termination, you must cease using the platform. You may request export of your data within thirty (30) days of termination, after which Innbocks may delete your data in accordance with our data retention policies.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Notwithstanding the foregoing, nothing in these Terms affects your statutory rights under applicable data protection laws, including the EU GDPR (Regulation 2016/679), UK GDPR, Data Protection Act 2018, or PIPEDA, which shall continue to apply to the extent required by law.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, except where mandatory local law requires otherwise.

12. Modifications to Terms

Innbocks reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the platform with at least thirty (30) days' notice. Your continued use of the platform after such notice constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
